These Terms and Conditions of Use (Terms) are a legally binding agreement between you and Mamas Village (ABN 49 839 752 938) (we, us, our) governing your access to and use of the Mamas Village app and all related services.
By downloading, installing, registering for, or otherwise accessing the Mamas Village app, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at mamas-village.com.au/privacy). If you do not agree to these Terms in full, you must not use the Mamas Village app.
The Mamas Village app is distributed through the Apple App Store. Your use of the Mamas Village app is also subject to Apple's Media Services Terms and Conditions and Apple's standard End User Licence Agreement (EULA), available at apple.com/legal/internet-services/itunes. In the event of any conflict between Apple's EULA and these Terms, these Terms prevail to the extent of the inconsistency.
These Terms are written in the English language. The English language version of these Terms is the governing version. Any translation provided is for convenience only and has no legal effect.
The Mamas Village app is owned and operated by Mamas Village (ABN 49 839 752 938), with a principal place of business in Melbourne, Victoria, Australia.
In these Terms, you and your refer to the individual who has agreed to these Terms by accessing or using the Mamas Village app. We, us, and our refer to Mamas Village.
You may contact us at any time by email at support@mamas-village.com.au. We will acknowledge all enquiries within 5 business days.
In these Terms, the following words have the meanings set out below:
The Mamas Village app is a social networking platform designed to help mothers discover values-aligned friendships and community support. The Service currently includes:
The Mamas Village app is entirely user-led. We do not use automated algorithms to determine which profiles are shown to you, to rank users, or to generate connection recommendations. All connections on the platform are initiated by users themselves based on their own assessment of other users' profiles.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. Where a modification is material, we will make reasonable efforts to notify you in advance in accordance with clause 21.
We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components. We may perform scheduled or emergency maintenance on the Mamas Village app from time to time, during which access to all or part of the Service may be unavailable.
To create an Account and use the Mamas Village app, you must:
We require users to be at least 18 years of age. Our verification process confirms that you control the phone number, Apple ID, or Facebook account used to register, but does not independently verify your age. Your age is self-attested by you at registration. We rely on your representation as to your age and reserve the right to suspend or terminate any Account where we have reason to believe the account holder is under 18. If you are under 18, you must not use the Mamas Village app.
By registering for an Account, and to the best of your knowledge and belief each time you use the Mamas Village app, you represent and warrant to us that:
We reserve the right to suspend or terminate any Account where we have a reasonable belief that any of the above representations are or have become inaccurate, or where the account holder does not satisfy the eligibility requirements in clause 4.1.
To create an Account, you must verify at the point of sign-up using one of the following methods:
You cannot access the Mamas Village app at all without completing one of the above verification steps. Verification is mandatory and cannot be bypassed or deferred. Verification confirms only that you control the phone number, Apple ID, or Facebook account used to register at the time of sign-up. It does not constitute verification of your identity, age, or the accuracy of any information in your profile.
Following verification, you must complete your profile before your Account becomes a Verified Account. Profile completion requires you to:
Until your profile is complete, your Account will not be visible to other users and you will not be able to view other users' profiles, send or receive connection requests, send or receive messages, or otherwise interact with other users through the Service. Full interactive access to the platform is conditional on having a Verified Account.
Your profile must accurately represent you as an individual at all times. You must not:
Creating a misleading profile or engaging in catfishing is a serious breach of these Terms and is grounds for immediate Account termination under clause 13.5.
You are solely responsible for maintaining the confidentiality of your Account login credentials and for all activity that occurs under your Account, whether or not authorised by you. You must notify us immediately at support@mamas-village.com.au if you become aware of, or have reason to suspect, any unauthorised access to or use of your Account. We are not liable for any loss or damage arising from your failure to protect your login credentials or to notify us of unauthorised access.
If you registered using Sign in with Apple or Facebook Login, you should follow Apple's and Meta's respective security recommendations to protect the account used to access the Mamas Village app. Regardless of your sign-in method, you remain solely responsible for all activity that occurs under your Account.
Each person may hold only one active Account at any time. Creating additional Accounts to circumvent a suspension, ban, or any restriction we have imposed, or for any other purpose, is a material breach of these Terms.
If you register or log in using Sign in with Apple or Facebook Login, you authorise us to receive and use certain information from those platforms as described in our Privacy Policy. Your use of Sign in with Apple is also governed by Apple's Terms of Service and Privacy Policy. Your use of Facebook Login is also governed by Meta's Terms of Service and Data Policy. Those documents are entirely separate from and independent of these Terms, and we are not responsible for the content, practices, or obligations of Apple or Meta.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the Mamas Village app on a device that you own or control, solely for your personal, non-commercial use.
The licence granted in clause 6.1 does not permit you to:
You must not use the Mamas Village app in any manner that creates a risk of harm to yourself or others, including while driving, cycling, or operating any vehicle or machinery. We accept no liability for any harm arising from unsafe use of the Mamas Village app.
You must comply with all applicable export control and sanctions laws and regulations when accessing the Mamas Village app. You must not access or use the Mamas Village app from any jurisdiction where doing so would be prohibited under applicable law.
We may revoke the licence granted in clause 6.1 at any time by terminating your Account in accordance with clause 13. Upon revocation, you must immediately cease all use of the Mamas Village app.
Core features of the Mamas Village app are provided at no charge. We may, from time to time, change which features are included in the free tier. Where such a change is material and reduces the features available to you at no charge, we will provide you with at least 14 days' advance written notice before the change takes effect.
Certain premium features may be offered on a subscription or one-time purchase basis (Paid Features). The applicable fees, billing frequency, and feature inclusions will be clearly disclosed to you before any purchase is completed. All prices are stated in Australian dollars (AUD) and are inclusive of GST where applicable.
Where Paid Features are offered on a subscription basis, your subscription will renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings in the relevant app store. Cancellation takes effect at the end of the current billing period, and you will retain access to the Paid Features until that date. No partial-period refunds are provided on cancellation by you, except as required by law.
Where Paid Features are offered as a one-time in-app purchase, the purchase is non-refundable except as required by the Australian Consumer Law. One-time purchases do not renew automatically. Access to a one-time purchased feature is provided for as long as that feature remains part of the Service. If we remove or materially alter a feature you have purchased on a one-time basis, we will provide you with reasonable notice and, where required by the Australian Consumer Law, a remedy.
Purchases made through the Apple App Store are subject to Apple's refund policy, and refund requests for such purchases must be submitted directly to Apple. We are not responsible for processing refunds for purchases made through the Apple App Store and have no control over Apple's refund decisions. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee or right to a remedy you may have under the Australian Consumer Law, and we will comply with all such obligations.
We may change the price of any subscription-based Paid Feature by providing you with at least 30 days' written notice by email or in-app notification before the new pricing takes effect. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect without penalty. Continued use of a subscription Paid Feature after the effective date of a price change constitutes your acceptance of the updated pricing.
All intellectual property rights in and to the Mamas Village app — including its name, logo, trade marks, design, code, text, graphics, and functionality — are owned by or licensed to Mamas Village and are protected under Australian and international intellectual property laws. Except for the limited licence granted to you under clause 6, nothing in these Terms grants you any right, title, or interest in our intellectual property.
The name Mamas Village and any associated logos or marks are trade marks of Mamas Village. You must not use, copy, or imitate any of these marks without our prior written consent.
If you provide us with any Feedback, you agree to assign to us all intellectual property rights in that Feedback to the fullest extent permitted by law. You acknowledge that such an assignment may be subject to requirements under the Copyright Act 1968 (Cth) and agree to do all things reasonably required by us to give effect to such assignment. To the extent that any such assignment is not effective or enforceable, you grant us a perpetual, irrevocable, royalty-free, worldwide, sublicensable licence to use, reproduce, adapt, publish, and exploit the Feedback in any form and for any purpose without restriction or obligation to you.
We may use aggregated, de-identified data derived from users' activity on the Mamas Village app for the purposes of understanding platform usage, improving the Service, and internal analytics and reporting. Aggregated data does not identify any individual user and is not personal information for the purposes of the Privacy Act 1988 (Cth).
You must not submit any review, rating, or comment about the Mamas Village app to the Apple App Store or any other platform that is false, misleading, defamatory, or that you know to be inaccurate. We reserve the right to report any review we reasonably believe to be false or misleading to the relevant platform operator.
If you believe that any content appearing in the Mamas Village app infringes your copyright, please notify us at support@mamas-village.com.au with: (a) a description of the copyrighted work you believe has been infringed; (b) a description of where the infringing material is located within the Mamas Village app; (c) your contact details; and (d) a statement that you have a good-faith belief that the use is not authorised. We will investigate all genuine copyright complaints and take appropriate action.
You retain ownership of all intellectual property rights in any User Content you submit through the Mamas Village app. Nothing in these Terms transfers ownership of your User Content to us.
By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide, sublicensable, and transferable licence to use, store, reproduce, and display your User Content to the extent necessary to operate and maintain the Service, to investigate safety complaints and enforce these Terms, and to comply with our legal obligations under Australian and applicable international law, including court orders, subpoenas, and regulatory demands from competent authorities. We will not use your User Content in any marketing, advertising, or promotional materials without your separate prior written consent.
This licence terminates when you delete the relevant User Content or when your Account is terminated or deleted for any reason, except:
The fact that another user has viewed your profile or browsed your content does not, by itself, extend this licence beyond the termination date.
By submitting User Content, you represent and warrant to us that:
Profile photographs uploaded to the Mamas Village app must be an accurate likeness of your current appearance. You must not use as a profile photograph: a photograph of another person; a stock image, illustration, avatar, or fictional character; any image that is misleading about your appearance or identity; or any image that contains a recognisable image of a child. By uploading a profile photograph, you consent to that photograph being displayed to other users who have a Verified Account for the purpose of facilitating connections.
You must not submit User Content that:
We may, but are not obligated to, monitor, review, edit, or remove any User Content at any time at our sole discretion, including where we have reason to believe the User Content violates these Terms or any applicable law. Removal of User Content does not constitute an admission of wrongdoing or liability on our part. We assume no responsibility or liability for any User Content submitted by users of the Mamas Village app, and we expressly disclaim any such liability to the fullest extent permitted by law.
Users with a Verified Account may browse other users' profiles and send connection requests. The information visible to you when browsing another user's profile before sending a connection request is the same information that is visible after a Connection is established — no additional personal information is unlocked upon connection. You acknowledge that:
Direct messaging is available between connected users. In using the direct messaging feature, you must not:
You acknowledge that private messages are stored as data on our servers and may be accessed by us where necessary to investigate a safety complaint, comply with a legal obligation, or enforce these Terms. This constitutes access to stored data and does not involve interception of messages in transit. Please refer to our Privacy Policy for details of how message data is handled and retained.
If you delete a message you have sent, we will use reasonable efforts to remove it from the recipient's view. We may retain a copy on our servers for a period of up to 30 days following deletion to allow for the resolution of any safety complaint or legal matter relating to that message, after which it will be deleted or de-identified in accordance with our Privacy Policy. Deleting a message does not guarantee it has not already been seen by the recipient.
The peer support feature allows users to seek and offer informal support with other users. This feature is not a professional counselling, medical, legal, or financial service. You must not use the peer support feature in a manner that could be mistaken for professional advice, and you must not hold yourself out as a qualified professional when offering peer support through the Mamas Village app.
If you are experiencing a mental health crisis, thoughts of self-harm or suicide, or any situation that requires immediate professional help, the peer support feature is not the appropriate channel. Please contact Lifeline on 13 11 14, Beyond Blue on 1300 22 4636, PANDA on 1300 726 306, or emergency services on 000.
We are not responsible for any harm arising from reliance on peer support content shared through the Mamas Village app in a crisis situation, and we expressly disclaim all such liability to the fullest extent permitted by law.
We may apply reasonable usage limits to the peer support feature from time to time. Where such limits apply, you will be notified within the app.
A user's profile is only visible to other registered users who have a Verified Account. Profiles are not publicly visible outside the Mamas Village app. Your profile includes your name, photograph, values, interests, season of life, and general location. We do not display your precise location to other users — only your general or suburb-level location is shown on your profile.
Your general location is displayed on your profile to allow other users to understand broadly where you are based. During account registration, we request access to your device's precise location on a one-time basis to verify that you are located within the service area. This precise location data is used only for this verification purpose and is not retained or displayed to other users. If you revoke location permissions through your device settings, we will be unable to determine or display your location on your profile, and other users will not be able to see your general area. Where you grant permission for more precise location access, this data is used solely for the purposes described in our Privacy Policy and is never displayed to other users.
You may mute any other user at any time using the mute function within the Mamas Village app. Muting a user will prevent their content from appearing in your browsing experience within the app. The muted user will not be notified that they have been muted. Muting does not prevent a user from sending you messages or connection requests — to prevent this, you must also block that user. We are not liable for any content from a muted user that you continue to receive through other means.
You may block any other user at any time using the block function within the Mamas Village app. When you block a user:
We are not responsible for any contact or conduct by a blocked user that occurs outside the Mamas Village app. Blocking a user does not constitute a report of that user — if you have safety concerns about another user, you should also report them using the process in clause 12.4.
A Connection may be dissolved by either party at any time through the Mamas Village app. Upon dissolution of a Connection:
Any personal information you learn about another user through the Mamas Village app — including through their profile, messages, peer support requests, or any other interaction — must be used only for the purpose of genuine personal connection through the Service. You must not:
In addition to the content standards in clause 9.5 and the platform-specific rules in clause 10, when using the Mamas Village app you must not:
We may take enforcement action against your Account in respect of conduct that occurs off the Mamas Village app where that conduct: (a) originated from or was facilitated by a connection, conversation, or interaction made through the Mamas Village app; and (b) constitutes harassment, abuse, stalking, intimidation, or other harmful behaviour directed at another user of the Mamas Village app. Reports of off-platform conduct should be submitted to us at support@mamas-village.com.au with as much detail as possible.
A breach of this clause 11 is a material breach of these Terms and may result in enforcement action in accordance with clause 13, including immediate Account termination without notice.
The Mamas Village app is designed to facilitate genuine connections between mothers. While we take steps to maintain the integrity and safety of the platform, you acknowledge and agree that:
We acknowledge that some users of the Mamas Village app may be experiencing mental health challenges including postnatal depression, anxiety, grief, or other difficulties. The peer support feature is designed to facilitate informal support between users and is not a substitute for professional mental health care or crisis intervention. We are not responsible for monitoring the Mamas Village app in real time and we are not able to guarantee a response to crisis content within any particular timeframe.
If you encounter User Content or a message that you believe indicates another user is at risk of harming themselves or others, please report it to us immediately using the in-app reporting function or by emailing support@mamas-village.com.au, and encourage that person to contact emergency services or a crisis support service. Australian support services include:
Although the Mamas Village app is used by mothers who may discuss their children, you must not post, share, or solicit identifying information about any child, including photographs, full names, school names or locations, home addresses, or any other information that could be used to identify or locate a child. A breach of this clause is a serious violation of these Terms and is grounds for immediate Account termination under clause 13.5.
If you encounter any User Content or user behaviour that you believe violates these Terms, is harmful, abusive, or otherwise concerning, you must report it to us immediately using the in-app reporting function or by contacting us at support@mamas-village.com.au. We will review all reports and take such action as we consider appropriate, which may include removing content, suspending or terminating Accounts, or referring the matter to law enforcement. We will not disclose the identity of a person who makes a report except where required by law. We will not provide reporting users with detailed outcomes of investigations.
The Mamas Village app is not an emergency service. If you or any other person is in immediate danger or at risk of harm, you must contact Australian emergency services immediately by calling 000.
If you breach any provision of these Terms, or if we have reasonable grounds to suspect that you have done so, we may take any one or more of the following actions at our sole discretion, provided that where we act on reasonable suspicion rather than a confirmed breach, we will make reasonable efforts to investigate the matter promptly and will restore your Account access if no breach is found and continued access does not pose a risk of harm to any person:
Where practicable and lawful to do so, we will notify you of any enforcement action taken against your Account and the reason for it. We are not required to provide advance notice or reasons where doing so would be unlawful, would compromise an ongoing investigation, or would pose a risk of harm to any person.
You may terminate your Account at any time by following the account deletion process within the Mamas Village app settings. Upon termination, your licence under clause 6 and your right to access and use the Service cease immediately. We will handle your personal information following termination in accordance with our Privacy Policy.
We may terminate your Account without cause by giving you at least 14 days' written notice to the email address associated with your Account. Where your Account is terminated without cause, you will retain access to the Service until the later of: (a) the end of the 14-day notice period; or (b) the end of your current billing period for any active subscription. Any prepaid subscription fees applicable to a period after the termination date will be refunded to you.
We may terminate your Account immediately and without notice where you have committed a material breach of these Terms, where we are required to do so by law, or where continued access poses a risk of harm to any person. A material breach includes but is not limited to: any breach of clause 5.3 (false or misleading profile or catfishing); any breach of clauses 9.5, 10.9, 11, or 12.3; or creating multiple Accounts in violation of clause 5.5. Termination for cause does not entitle you to any refund of prepaid subscription fees, except as required by law.
An Account is considered dormant if it has not been accessed for a continuous period of 12 months. We will send you written notification to the email address associated with your Account no less than 30 days before taking any action in relation to a dormant Account. If your Account remains dormant following that notice, we will deactivate or permanently delete the Account and associated data in accordance with our Privacy Policy.
Termination of your Account for any reason does not affect any accrued rights or obligations of either party and does not release you from any liability that arose before termination. The following clauses survive termination of these Terms: clause 2 (Definitions), clause 8 (Intellectual Property), clauses 9.1 to 9.3 (User Content ownership, licence, and warranties), clause 10.9 (Misuse of Other Users' Information), clause 11 (Acceptable Use and Prohibited Conduct), clause 14 (Privacy and Data), clause 17 (Disclaimers and Limitation of Liability), clause 18 (Indemnity), clause 22 (Dispute Resolution), and clause 23 (General Provisions).
The way in which we collect, use, store, disclose, and otherwise handle your personal information is governed by our Privacy Policy, available at mamas-village.com.au/privacy. The Privacy Policy forms part of these Terms and is incorporated into them by reference. You should read the Privacy Policy carefully before using the Mamas Village app. By using the Mamas Village app, you acknowledge that you have read the Privacy Policy and consent to the collection, use, and disclosure of your personal information as described in it. Specific consents — including consent to location data collection and to the overseas transfer of your personal information — are obtained at the relevant points within the app during onboarding and where those permissions are requested.
Updates to the Privacy Policy that do not fall within any of the categories described in (a) to (d) below are governed by the terms of the Privacy Policy itself and are not subject to the amendment procedure in clause 21 of these Terms. However, any change to the Privacy Policy that: (a) expands the categories of personal information we collect; (b) adds new overseas recipients of your personal information; (c) introduces new purposes for which your personal information is used; or (d) reduces your rights in relation to your personal information, will be notified to you under the same procedure as clause 21, and you will have the same right to terminate your Account without penalty before the change takes effect.
The following categories of personal information are collected as a direct consequence of your use of the Service, and their collection is a material term of this agreement:
Full details of how each category of information is used, stored, and disclosed — including details of third-party service providers and overseas transfers — are set out in our Privacy Policy.
Some information you provide through the Mamas Village app — including information about your personal values, beliefs, health circumstances, or family situation shared through your profile or peer support requests — may in some cases constitute, and we treat as potentially constituting, sensitive information under the Privacy Act 1988 (Cth). We collect this information only with your consent, and we use it only for the purpose of facilitating connections and peer support through the Service, as described in our Privacy Policy.
You have the right to request access to, or correction of, the personal information we hold about you, and to request deletion of your personal information subject to our legal obligations. We will respond to all such requests within 30 days of receipt. To exercise any of these rights or to make a privacy complaint, please contact us at support@mamas-village.com.au or refer to the complaints process in our Privacy Policy.
We take reasonable steps to protect personal information from misuse, interference, loss, and unauthorised access, modification, or disclosure. Our current security measures include SSL/TLS encryption for data transmission, encryption at rest for stored personal information, and user authentication and access controls, all implemented through Google Firebase infrastructure. Google maintains ISO 27001 and SOC 2 certifications for its Firebase platform, details of which are available in Google's documentation. We make no independent representation as to Google's certification status, which is subject to change.
No method of transmission over the internet or electronic storage is completely secure. We cannot guarantee the absolute security of your personal information, and we disclaim liability for any unauthorised access that occurs despite our reasonable security measures.
You are responsible for taking reasonable steps to keep your Account secure. If you registered using Sign in with Apple or Facebook Login, you should follow Apple's and Meta's respective security recommendations to protect the account used to access the Mamas Village app. You should also ensure that the device you use to access the Mamas Village app is protected with appropriate security measures, including a screen lock.
In the event of an eligible data breach — being unauthorised access to, disclosure of, or loss of personal information that is likely to result in serious harm to any individual — we will comply with our obligations under the Notifiable Data Breaches scheme in Part IIIC of the Privacy Act 1988 (Cth). This includes notifying affected individuals and the Office of the Australian Information Commissioner (OAIC) within 30 days of becoming aware of the breach, and providing details of the information affected, the potential consequences, and any steps we recommend you take to protect yourself.
The Mamas Village app may send push notifications to your device regarding your Account activity, connection requests, messages, and Service updates. You can manage your push notification preferences through your device settings at any time. Disabling push notifications will not affect your ability to use the Mamas Village app but may mean you miss time-sensitive Account information.
We will send you transactional emails as required to operate your Account, including Account verification, security alerts, and Service-related notices. These emails are sent for the purposes of operating your Account and are not marketing communications.
We will only send you marketing emails where you have separately and expressly opted in to receiving them. You may withdraw your consent at any time by clicking the unsubscribe link in any marketing email or by contacting us at support@mamas-village.com.au. We will process all opt-out requests within 2 business days in compliance with the Spam Act 2003 (Cth).
To the maximum extent permitted by law, the Mamas Village app and the Service are provided on an 'as is' and 'as available' basis without representations or warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement.
We do not guarantee that your use of the Mamas Village app will result in any particular connections, friendships, relationships, or other social outcomes. We are not responsible for the conduct, actions, statements, or omissions of any user of the Mamas Village app, whether within the app or in person.
Verification confirms only that a user controls the phone number, Apple ID, or Facebook account used to register at the time of sign-up. It does not guarantee that any user is who they claim to be in their profile, and we make no representation or warranty to that effect. You assume all risk arising from your interactions with other users, including any in-person meetings.
Content shared through the peer support feature represents the personal views of individual users and does not constitute professional medical, psychological, legal, financial, or other advice. We expressly disclaim all liability for any reliance placed on peer support content by any user, including in a crisis situation.
We are not the publisher or author of any User Content and do not endorse any User Content. We expressly disclaim all liability in respect of any User Content submitted by users of the Mamas Village app, to the fullest extent permitted by law.
To the maximum extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), statute, equity, or otherwise, is limited to the total fees actually paid by you to us in the 12-month period immediately preceding the event giving rise to the claim. Where you have not paid any fees in that period, our liability is limited to the maximum extent to which liability may be limited under the Australian Consumer Law for a supply of services of this kind.
To the maximum extent permitted by law, we exclude all liability for indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including loss of profits, loss of revenue, loss of data, loss of goodwill, loss of opportunity, or any other intangible loss, even if we have been advised of the possibility of such damages and even if such damages were foreseeable.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, remedy, or other protection you may have under the Australian Consumer Law or any other applicable legislation that cannot lawfully be excluded or limited. To the extent that the Australian Consumer Law permits us to limit our liability for a failure to comply with a consumer guarantee that applies to a supply of services, we limit our liability at our option to: (a) the resupply of the services; or (b) the payment of the cost of having the services supplied again.
You agree to indemnify, defend, and hold harmless each Indemnified Party from and against any and all claims, actions, proceedings, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees on a solicitor-client basis) that arise out of or in connection with:
except to the extent that any such claim, liability, or loss is caused or contributed to by the negligence or wilful misconduct of an Indemnified Party.
The Mamas Village app may contain links to, or integrations with, third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, availability, privacy policies, practices, or terms of any third-party website or service. The presence of any link or integration in the Mamas Village app does not constitute our endorsement of that website or service. We encourage you to review the terms and privacy policies of any third-party website or service you access through the Mamas Village app.
If you have a complaint about the Mamas Village app, the Service, or any other matter relating to these Terms, please contact us in the first instance at support@mamas-village.com.au with full details of your complaint. We will acknowledge your complaint within 5 business days and will make a genuine effort to investigate and respond within 14 days.
If your complaint relates to the handling of your personal information, the response timeframe and escalation process are governed by our Privacy Policy. If you are not satisfied with our response to a privacy complaint, you may lodge a complaint with the Office of the Australian Information Commissioner (OAIC) at oaic.gov.au or by telephone on 1300 363 992.
If you are not satisfied with our response to any other complaint, you may escalate the matter in accordance with clause 22.
We may update or amend these Terms from time to time to reflect changes in the law, the Service, or our business practices. Where we make material changes to these Terms, we will notify you by in-app notification, by email to the address associated with your Account, or both, no less than 14 days before the changes take effect. A summary of the material changes will be included in the notification.
The current version of these Terms will always be available within the Mamas Village app and at mamas-village.com.au/terms. If you do not agree to any updated Terms, you may terminate your Account before the effective date of the changes without penalty. Your continued use of the Mamas Village app after the effective date of any update constitutes your acceptance of the updated Terms.
If you have a Dispute, you must first contact us at support@mamas-village.com.au and provide us with written details of the Dispute. We will acknowledge receipt within 5 business days. Both parties agree to make a genuine and good-faith effort to resolve the Dispute informally within the Negotiation Period, or such longer period as agreed between the parties in writing.
If the Dispute has not been resolved at the end of the Negotiation Period, either party may refer the Dispute to mediation administered by the Resolution Institute (ACN 008 651 232), or such other mediator as the parties agree in writing, before commencing any legal proceedings. The costs of mediation will be borne equally by the parties unless the mediator directs otherwise. Nothing in this clause prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction at any time.
These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to conflict of law principles. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia in respect of any Dispute that proceeds to litigation. The jurisdiction is non-exclusive to preserve your rights as a consumer to commence proceedings in any jurisdiction available to you under applicable law.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and us with respect to your use of the Mamas Village app and supersede all prior representations, communications, and informal understandings between the parties relating to the same subject matter. Changes to the Privacy Policy are subject to the procedure set out in clause 14.1.
If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be limited or modified to the minimum extent necessary to make it enforceable, and all remaining provisions will continue in full force and effect.
A failure or delay by us to exercise or enforce any right, power, or privilege under these Terms does not operate as a waiver of that right, power, or privilege. No single or partial exercise of any right, power, or privilege prevents any other or further exercise of it or the exercise of any other right, power, or privilege.
You may not assign, transfer, novate, or otherwise deal with any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to a successor entity in connection with a business sale, merger, restructure, or acquisition, and will provide you with reasonable written notice of any such assignment.
We will not be in breach of these Terms, and will not be liable to you for any failure or delay in the performance of our obligations, to the extent that such failure or delay is caused by a Force Majeure Event. Where a Force Majeure Event affects our ability to deliver the Service, we will notify you as soon as reasonably practicable and will use reasonable efforts to restore the Service. If a Force Majeure Event continues for more than 30 consecutive days, either party may terminate these Terms by giving written notice to the other. If we terminate under this clause, we will refund any prepaid subscription fees applicable to the period after the termination date.
We are committed to making the Mamas Village app as accessible as reasonably practicable in accordance with our obligations under the Disability Discrimination Act 1992 (Cth). If you experience any accessibility barriers when using the Mamas Village app or require accommodation, please contact us at support@mamas-village.com.au and we will make reasonable efforts to assist you.
Nothing in these Terms creates or is intended to create a partnership, joint venture, employment relationship, franchise, or agency relationship between you and us. You have no authority to bind us in any way, and nothing you do or say will be taken to represent that you have such authority.
Any notice given by you to us under these Terms must be sent by email to support@mamas-village.com.au. Any notice given by us to you will be sent to the email address associated with your Account or delivered by in-app notification, at our election. A notice sent by email is deemed received on the next business day after transmission, where business day means a day that is not a Saturday, Sunday, or public holiday in the State of Victoria, Australia. If the sending party receives an automated delivery failure notification, the notice will not be deemed received and must be resent.
You and we acknowledge and agree that: (a) these Terms are concluded between you and us only, and not with Apple Inc.; (b) Apple Inc. is not responsible for the Mamas Village app or its content; (c) Apple Inc. has no obligation to provide any maintenance or support services in relation to the Mamas Village app; (d) Apple Inc. is not responsible for addressing any claims by you or any third party relating to the Mamas Village app; and (e) Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, Apple Inc. will have the right to enforce these Terms against you as a third-party beneficiary.
In these Terms, unless the context requires otherwise: (a) headings are for convenience only and do not affect interpretation; (b) the singular includes the plural and vice versa; (c) a reference to a clause is a reference to a clause of these Terms; (d) a reference to a statute includes all regulations, amendments, and successor legislation made under it; and (e) the word 'including' is not a word of limitation.
